Ailistair Terms of Service

These Terms of Service (“Terms”) govern access to and use of the Ailistair platform, including the chat widget, management dashboard, APIs, staff tools, and related services (collectively, the “Services”). By creating an account, purchasing a plan, or using the Services you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization. “Customer,” “you,” and “your” refer to the entity or individual using the Services; “Ailistair,” “we,” and “us” refer to Dotfo ApS (CVR DK37389021), Gunnar Clausens Vej 68, 8260 Viby J, Denmark, trading as Ailistair.

1. Accounts & Eligibility

Customers must maintain an active account with accurate billing, contact, and guardrail information. You are responsible for all activity that occurs under your account credentials, including actions taken by administrators, staff, or end-users you invite. Customers must secure their accounts with multi-factor authentication where available and promptly notify Ailistair of any unauthorized access.

2. Services & Availability

Ailistair provides an AI-enabled chat experience with tenant isolation, guardrail enforcement, MCP tool orchestration, analytics, and billing. We will use commercially reasonable efforts to keep the Services available 24/7, excluding planned maintenance and circumstances beyond our reasonable control. We may modify features provided we do not materially reduce core functionality of your active plan.

3. Plans, Billing & Tokens

  • Plan Fees. Subscription fees are charged in advance via Stripe, our payment processor. Plan pricing is published on ailistair.com.
  • Prepaid token economy. Each plan includes a monthly token allowance that replenishes on your billing anniversary. Token usage beyond the included allowance requires prepaid top-up bundles purchased through Stripe. Unused prepaid tokens roll over while your subscription remains active.
  • Auto top-ups. You may enable automatic token replenishment. By opting in you authorize Ailistair to charge your payment method for the selected bundle whenever your balance drops below the configured threshold.
  • Taxes & refunds. Fees are exclusive of applicable taxes. Except where required by law or detailed in an Order Form, payments are non-refundable.
  • Suspension for non-payment. We may suspend access to the Services after failed payments, past-due invoices, or exhausted token balances where you have not enabled top-ups.

4. Acceptable Use & Customer Responsibilities

Customers must configure guardrail instructions, tool permissions, and escalation policies appropriate to their use case. You agree not to use the Services to (i) violate any law or third-party rights, (ii) send spam or abuse, (iii) upload malicious code, (iv) attempt to gain unauthorized access to the Services, or (v) process personal data without a lawful basis. You are responsible for the content of prompts, instructions, and materials you ingest or host through the Services.

5. Data & Privacy

Ailistair processes Customer Data as described in our Privacy Policy and Data Processing Addendum. Customer Data includes chat transcripts, guardrail instructions, MCP tool configurations, and knowledge sources you provide. We act as a processor for Customer Data and will not use it except to deliver the Services, prevent abuse, or comply with legal obligations. You are solely responsible for obtaining any required consents from end-users.

6. Third-Party Services

The Services integrate with third-party providers such as OpenAI (model inference), Stripe (payments), Mailgun (email), and Twilio (notifications). Your use of those services may be subject to their terms. Ailistair is not responsible for third-party outages or changes, but we will provide reasonable assistance to mitigate impact.

7. Intellectual Property

Ailistair retains all rights, title, and interest in and to the Services, including software, documentation, and branding. Customer retains all rights to Customer Data and output generated specifically for Customer. By submitting feedback, you grant us a non-exclusive, royalty-free license to use it to improve the Services.

8. Confidentiality

Each party agrees to protect the other party’s confidential information using reasonable care and to use it only for fulfilling its obligations under these Terms. Confidential information excludes material that is public, independently developed, or lawfully obtained from another source without restriction.

9. Disclaimers & Limitation of Liability

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AILISTAIR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE GREATER OF (A) FEES PAID BY CUSTOMER IN THE SIX MONTHS BEFORE THE CLAIM OR (B) USD $500. NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES.

10. Term, Suspension & Termination

These Terms apply for as long as you access the Services. You may terminate at any time by cancelling your subscription, which ends at the close of the current billing period. We may suspend or terminate access for material breaches, including unpaid fees or violations of the Acceptable Use Policy, with reasonable notice when feasible. Upon termination we will delete Customer Data after 30 days unless required to retain it by law.

11. Miscellaneous

  • Governing Law. These Terms are governed by the laws of Denmark without regard to conflicts principles.
  • Dispute Resolution. The parties will attempt to resolve disputes informally before seeking other remedies. Courts in Aarhus, Denmark have exclusive jurisdiction.
  • Order Forms. If you execute a separate Order Form or Master Services Agreement with Ailistair, that document prevails over these Terms to the extent of any conflict.
  • Changes. We may update these Terms from time to time. Continued use after an update constitutes acceptance. We will notify account owners of material changes via email or dashboard notice.
